Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at snk-agency.com (the "Site"), our intake forms, and any services, communications, or content provided by SNK Agency ("SNK Agency", "we", "us", or "our") in connection with the Site (collectively, the "Services"). By accessing the Site, submitting an intake form, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms govern marketing and informational use of the Site. Engagements as a brand client or as a represented creator are additionally governed by a separate written agreement (e.g. master services agreement, statement of work, or talent representation agreement). In case of conflict, that signed agreement controls for the specific engagement.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you are using the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

2. The Services

SNK Agency is a tech influencer marketing agency. The Site provides information about our services, intake forms for brands and creators, and a way to contact us. We do not guarantee that any specific campaign, partnership, representation, or outcome will result from contacting us or submitting an intake form. We may decline any inquiry at our sole discretion.

3. Submissions through intake forms

When you submit information through our brand or creator intake forms, you represent and warrant that:

  • The information you provide is accurate, complete, and not misleading.
  • You have the right and authority to share that information with us.
  • Any audience metrics, performance figures, or historical results you provide have not been artificially inflated and are not the product of bots, fake followers, paid engagement schemes, or other manipulation.
  • You will promptly update us if information you provided becomes materially inaccurate during our discussions.

Submitting an intake form does not create a binding agreement, an offer, an acceptance, or any guarantee that we will engage with you. Any engagement requires a separate signed agreement.

4. Acceptable use

You agree that you will not, and will not attempt to:

  • Use the Services in violation of any applicable law or regulation.
  • Submit information that is fraudulent, defamatory, infringing, obscene, harassing, or otherwise unlawful.
  • Impersonate any person or entity or misrepresent your affiliation with anyone.
  • Upload viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to the Site or our systems.
  • Probe, scan, or test the vulnerability of the Site, or breach security or authentication measures.
  • Scrape, harvest, or otherwise collect data from the Site by automated means.
  • Use the Services to send spam, chain letters, or unsolicited promotional material.
  • Reverse-engineer, decompile, or attempt to extract source code from any part of the Services, except to the extent expressly permitted by law.
  • Use the Services to compete with us or to build a competing product or service.

5. Intellectual property

The Site, including its text, graphics, logos, layout, code, and the "SNK Agency" name and marks, is owned by SNK Agency or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business evaluation of our Services. All other rights are reserved.

Logos and brand marks of third-party brands or creators shown on the Site are the property of their respective owners and are used for identification and reference purposes only.

6. Your submissions and content license

You retain ownership of the information and materials you submit through the Site or our intake forms ("Submissions"). You grant SNK Agency a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, store, transmit, and process those Submissions solely for the purpose of operating the Services, evaluating potential engagements, and complying with legal obligations. Public-facing use of a creator's name, likeness, content, or performance data, or a brand's name, logo, or campaign materials, in marketing or case studies will only occur under a separate written agreement or with your prior consent.

7. Third-party platforms

The Services rely on third-party platforms such as Typeform (intake forms), email providers, cloud hosting, and the social platforms creators publish on (YouTube, TikTok, Instagram, LinkedIn, X, and others). Those platforms have their own terms and privacy policies, and we are not responsible for their actions, availability, or content. Your use of those platforms is at your own risk.

8. No professional advice

Information on the Site is provided for general informational purposes only and does not constitute legal, tax, financial, investment, or other professional advice. You should consult your own advisors before making any business decision based on information from the Site.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR GUARANTEE ANY SPECIFIC CAMPAIGN RESULTS, REACH, IMPRESSIONS, CONVERSIONS, OR REVENUE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SNK AGENCY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE (OUTSIDE OF A SEPARATE SIGNED AGREEMENT WITH US) WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless SNK Agency and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property or privacy right.

12. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all provisions of these Terms which by their nature should survive will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws applicable at SNK Agency's principal place of business, without regard to its conflict-of-laws principles. You and SNK Agency agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any dispute arising out of these Terms or your use of the Services, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy, our Cookie Policy, and any signed agreement between you and SNK Agency, constitute the entire agreement between you and SNK Agency regarding the Site and Services. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
